Role Summary Attorney with Legal Department who will be effective in exercising seasoned judgment and providing guidance to business and functional leaders across the organization. This role is based in PMI’s global headquarters in Lausanne, Switzerland. In this function, you will support the legal efforts that handle a wide variety of complex private and public M&A transactions, with responsibility for progressing key legal workstreams, including being responsible for liaising with key stakeholders such as Corporate Strategy & Program Delivery, Global Communications, Corporate Secretary, Legal Strategy, Finance, Treasury, People & Culture, and Tax, as well as external stakeholders such as external counsel, accountants, corporate finance partners, and investment banking. Responsibilities will include: effectively building and maintaining strong external and internal relations; providing trusted business partnership and counselling on corporate operations and transactions decisions of importance to the Company and, as appropriate, contributing to the corporate strategy planning process; maintaining responsibility for designated practice areas as determined by the General Counsel; demonstrating an inclusive, consultative and thoughtful approach to achieving cross-functional alignment on issues internally; ensuring that legal services provided are cost-effective, practical, strategic, and consistent with the company’s philosophies while creating an environment of collaboration with business partners and Law Department colleagues to help drive continual process and policy improvements; contributing to and ensuring delivery on Law Department business goals and the overall business plan of the company, ensuring that Law Department implements leading practices and operates at the highest ethical standards and developing emerging talents in the organization, including in the field of M&A. Key Responsibilities: • Partners with internal clients to create proactive strategies designed to avoid or minimize exposure to legal liability. • Helps business partners understand the risks and consequences of the given situation. Effectively communicates the consequences and develops alternatives to manage identified risks. • Identifies and analyzes legal issues, drafts key documents, presents clear recommendations and ensures legal compliance as it relates to the noted areas of law. • Represents the company’s position before federal, state and local government agencies regarding the noted areas of law. • Stays current with legal developments, best practices and benchmarks in the noted areas of law and assists internal clients in implementing policies and procedures in response thereto. • Maintains a culture with a high degree of emphasis on dignity, respect, and inclusion. • Help coordinate legal advice for new corridor(s) of business following organic or external growth opportunities Mergers & Acquisitions • Advise the Corporate Strategy & Program Delivery team and other business units across Philip Morris International on mergers, acquisitions, corporate restructurings, corporate venture investments, divestitures, joint ventures, financing and other strategic investments. • Supports the delivery of high-quality legal counsel across all business development activities from inception to closing for all types of transactions • Collaborate with senior management team, corporate, M&A, Global communications and regional finance teams to create effective proactive partnerships and collaborations. • Draft, negotiate and participate in the review of various transaction documents associated with M&A and strategic investments, with support from outside counsel as appropriate and cost efficient. • Work with the business and legal team in structuring complex transactions; identify risks and concerns while presenting potential alternatives and solutions to challenging deal matters and business issues. • Effectively present solutions and challenge thinking to ensure deal decisions result in the intended benefits for PMI. • Support due diligence and work collaboratively with multiple cross-functional teams including proactive partnerships to ensure subject matter experts are included as appropriate. • Collaborate and coordinate activities within a decentralized structure with a keen ability to partner effectively across functions and geographies gaining credibility and confidence throughout the transactional process. • While an individual contributor, manage and hold others accountable for seamless execution throughout the process and varied workstreams (such as permitting, filings, regulatory approvals, potential integration planning, regional deal implementation activities). • Provide legal support for corporate governance, treasury, securities and entity management activities, as needed. • Work closely with sales, marketing, operations, finance and other stakeholders to structure, draft and negotiate commercial agreements to support the product and services sales, marketing and operations of the company. • Be the advocate, advisor and trusted business partner to our internal teams to address and provide practical legal solutions to commercial issues. • Engage and collaborate cross-functionally with other business units at all levels throughout the organization to ensure that agreements adequately protect the company’s interests. • Interpret contract requirements, obligations and risk exposure and advise the business as to the appropriate course of action. • Work with the business to shape new product and service offerings and create and document adequate contractual provisions to support new business activities and growth. • Help support the continuous improvement in the way we do business by up levelling our standard forms of agreement, contracts playbooks and other legal processes. • Manage external counsel in accordance with outside counsel guidelines. • Build strong precedents and templates for any M&A or adjacent activity that would benefit the entire organisation. • Business Acumen • Quickly grasps key drivers of the business and industry and quickly become immersed in the most important business issues facing the company. • Demonstrates strategic, innovative, creative and inquisitive frame of mind, with strong business acumen and judgment. • Speaks fluently in lay terms to a range of audiences. • Executing for Results • Demonstrates the detail orientation and the technical, planning and project management skills to ensure flawless execution. • Takes initiative and operates with a sense of urgency, decisiveness and responsiveness. • Possesses strong work ethic with ability to handle a fast-paced vigorous schedule. • Able to solve problems and offer creative solutions. • Anticipates and proactively addresses emerging issues. • Makes nuanced recommendations and business decisions based on facts and the culture of the constituents served. • Marshalls the appropriate level and mix of resources as required by circumstances. • Demonstrates self-motivation and initiative to prioritize work and otherwise perform the job with minimal supervision. • Holds oneself to the highest standards of accountability. • High energy and drive, a charismatic and positive management style with a passion for driving results, and unquestioned integrity. • Highly collaborative and an appreciation of the power of inclusivity. • Ability to unlock transactions on the finish line through the right mix of diplomacy and firmness. Knowledge and experience desired to undertake this role • Juris doctor and licensed to practice law (bar qualified) in a locale where PMI operates. • At least 4 years of experience with a demonstrated understanding of corporate legal matters and investments with deep commercial contracting expertise. Both in house and major law firm experience preferred. Prior experience in a top tier international law firm in a M&A role strongly preferred. • Knowledge and understanding of U. S. federal & state corporate law mandatory. • Familiarity with a wide variety of transaction types (e.g., public company, private company, stock purchase, asset purchase, cross-border,) and knowledge of commercial contracting. • Demonstrated successful collaboration with colleagues and ability to develop business solutions with effective presentation of business risks and anticipated outcomes. • Ability to work in a fast-paced environment, handle multiple, conflicting priorities while managing a substantial workload and client expectations. • Experience of working successfully in a highly results-oriented and performance-driven environment with a focus on excellence. • Robust interpersonal, networking, public speaking, and writing skills, with the confidence and credibility to act quickly, communicate effectively with diplomacy and civility, and command respect of both internal and external audiences. • Ability to draft transactional documents in English at first-rate level, native level a strong advantage.
