We are looking for a senior talent to join our Legal team in Egypt. As Legal Counsel, you will be assisting the Company in working to reach business objectives in a manner consistent with all relevant laws, regulations and internal policies; Philip Morris International Inc. (“PMI”) Principles & Practices (“PMI P&Ps”). The Counsel role assists Senior Counsel, Egypt & Levant in advising on the day-to-day activities of the business as well as issues arising out of PMI relationships with its business partners and third parties and offers potential development opportunities in the Senior Counsel, Egypt & Levant position. The role is based in Cairo, Egypt. More specifically you will: • Provide legal advice and opinions in all legal aspects, in addition to interpreting legislation, rulings and regulations; • Assess business risks in light of legal advice and interpretation, and assist business in maneuvering around same and achieve business objectives without violating applicable legislation; • Drafting all types of contracts whether in commercial, marketing, human resources, operations and finance sectors. Contracts include, amongst many, employment, lease, purchase, service, supply, insurance, agency, Non-Disclosure Agreement, short & long term assignments, distribution, licensing, contract manufacturing, customer care, construction, shareholders agreements and other contracts and agreements related to the business; • Handle all labor matters, corporate compliance, short & long term assignments, termination, social security, by-laws, dismissal and other HR-related affairs in addition to managing all queries related to the day-to-day business; • Provide diligent advice on customs, taxation, health, anti-corruption, anti-bribery, competition, tobacco laws and regulations, insurance, licensing, packaging and labelling, data privacy, consumer protection, products specifications and company laws; in addition to attending Board of Directors meetings, prepare all minutes of meetings and file same with the relevant authorities in due course; • Prepare comprehensive legal training materials, for company's employees, in relation to PMI P&Ps, code-of-conduct, compliance, anti-corruption & anti-bribery laws, penal code, commercial, IP rights, competition and litigation laws and legal provisions. In addition to conducting same at company’s premises when needed and upon company’s request; • Draft all legal documentation, correspondence and official communication and transactions with authorities and business partners. The ideal candidate should have: • 10 – 15 years of experience with minimum of 4 years in-house experience; • Multinationals whether Law firms/FMCG experience is a plus; • M&A experience; • Excellent contracts drafting skills, in both Arabic and English languages; • Admitted to the Egyptian Bar Association; • Regional exposures is a plus; • Fluent in Arabic and English. French is a plus.
